NWCHA Antitrust Compliance Policy
It is NWCHA’s intention to fully comply with all state and federal antitrust laws which prohibit the restraint of trade among competitors. Accordingly, NWCHA staff, members and Directors are required to adhere to the policy guidelines set forth below.
NWCHA members may not take part in any discussions, understandings or agreements, whether express or implied, between competitors that are designed or intended to raise, lower or stabilize prices, to allocate or share markets, or encourage or facilitate boycotts. Rather, NWCHA members should make decisions regarding any of the foregoing on an individual basis and without consultation with other NWCHA members or with NWCHA staff or Directors. In the event of a discussion between or among NWCHA members that violates, or appears to violate these guidelines, such discussion should be discontinued pending advice of legal counsel.
NWCHA staff shall keep confidential and not share member information, without the prior express consent of the affected member, related to pricing of products or services, but may quote member information from published documents, journals or other public sources. Directors, employees and volunteers shall not use, or permit or encourage others to use, proprietary, non-public information or knowledge gained while conducting NWCHA business for any purpose that would tend to raise, lower or stabilize prices, allocate or share markets, or to encourage or facilitate boycotts.
Any violation of these policy guidelines should be promptly brought to the attention of the NWCHA President and Board.
NWCHA Conflict of Interest Policy
Directors, employees, as well as volunteers who participate in NWCHA activities, shall avoid entering into any business or financial transaction, and shall not knowingly acquire any pecuniary interest, that is adverse to the interest of NWCHA or the interest of any of its members. No Director, employee or volunteer who participates in NWCHA activities shall use information relating to a member to that member’s disadvantage, absent the member’s express, prior consent. No Director, employee or volunteer whAo has an actual or potential conflict of interest as regards any issue, initiative or transaction pending before NWCHA, its Directors or its members for a decision or vote, shall participate in any discussions or balloting regarding said issue, initiative or transaction. Any actual or potential conflicts of interest should be timely disclosed to the NWCHA President and Board to ensure the integrity of the decision making process and to avoid even the appearance of impropriety.
